Harold McGraw III is chairman, president and chief executive officer of The McGraw-Hill Companies. He was elected chairman in December 1999; chief executive officer in 1998; and president and chief operating officer in 1993. He has been a member of The McGraw-Hill Companies' Board of Directors since 1987.

Mr. McGraw has led a transformation of the Corporation, consolidating 15 diverse units into three focused business segments, each one a market leader.

In financial services, Standard & Poor's is the world's leading provider of financial analyses and risk assessments. In education, McGraw-Hill Education is a leader in the United States K-12 education market and in higher education and professional information. And in business information, the Corporation provides critical news, insight and solutions globally in BusinessWeek and through leading portals in the energy, aviation and construction industries.

The McGraw-Hill Companies had sales of $5.3 billion in 2004. The Corporation has a strong history of growth. Its annualized total return to shareholders has increased by an average of 10.03% annually over the last 5 years, exceeding the -2.30% annualized return of the S&P 500 and the 1.53% gain of the proxy peer group. The Corporation's market capitalization has increased five-fold since 1992.

Mr. McGraw, 56, joined The McGraw-Hill Companies in 1980 and has held a number of positions with increasing responsibilities, including vice president, Corporate Planning; publisher, Aviation Week & Space Technology; president, McGraw-Hill Publications Company; and president, McGraw-Hill Financial Services Company.

Mr. McGraw serves on the Board of Directors of United Technologies, a diversified company that provides high technology products and support services to the commercial building and the aerospace industries. He also is chairman of the Business Roundtable's International Trade and Investment Task Force and chairman of the Emergency Committee for American Trade (ECAT). He is also a member of The Business Council and served as a member of President George W. Bush's Transition Advisory Committee on Trade.

He serves on the Boards of the National Organization on Disability, The National Actors Theatre, The National Academy Foundation, Hartley House, The New York Public Library, Carnegie Hall and Prep for Prep. In addition Mr. McGraw is chairman of the National Council on Economic Education and a co-chair of Carnegie Hall's Corporate Leadership Committee.

Mr. McGraw received an M.B.A. from the Wharton School of the University of Pennsylvania in 1976 and a B.A. from Tufts University in 1972.
