Corporate Governance
As a leader in providing innovative products and services to fuel the knowledge economy, we are committed to transparency. Integrity has defined our company for more than a century and we hold ourselves to the highest standard of ethical conduct. It's a value that reverberates throughout The McGraw-Hill Companies, but is especially evident in matters of leadership.
Our Board of Directors comprises some of the most enterprising and well-rounded individuals in business today. The board has ten independent directors out of a total of twelve, including two women and two people of color. They conduct themselves in accordance with the highest ethical standards, and within our guidelines.
The McGraw-Hill Code of Business Ethics guides everything from supplier interactions to customer dealings.
Finally, we encourage our employees to report any concerns swiftly and without fear of retribution. We aim for a culture of openness and inclusiveness; fostering communication is our ultimate goal.
This concept is perhaps best embodied in our employee hotline, where anyone is free to report any concern - personal or otherwise - anonymously, if so desired.
Governance of Corporate Responsibility and Sustainability

Management of corporate responsibility and sustainability starts with our Board of Directors. The Nominating and Corporate Governance Committee has oversight responsibility for our corporate responsibility and sustainability activities. They are managed under the guidance of Chairman, President and CEO, Harold McGraw, III.
Our Corporate Responsibility and Sustainability Committee (CRSC) comprises all senior management responsible for the Corporation's CRS policies and practices. The CRSC is chaired by the Executive Vice President of Corporate Affairs and Executive Assistant to the CEO and is co-sponsored by the Executive Vice President of Human Resources and Executive Vice President of Global Strategy. The CRSC regularly monitors our performance, and coordinates strategies to minimize our impacts and maximize our benefits.
Our Environmental Action Committee (EAC), a subset of the CRSC focuses on addressing our climate change and emissions reduction efforts, and establishing and monitoring the Corporation’s Sustainability Strategy.
Additionally, our Senior Vice President of Sustainable Business Development position and our Sustainability Business Development Board are made up of more than a dozen senior business leaders from across the Corporation and were created to ensure we continue to contribute to and capitalize on emerging business opportunities relating to sustainability.
Public Policy
Due to the diverse nature of our business, our public policy activity, run by our Government Affairs Department, covers a large number of areas, including: advertising, broadcasting, copyright, digital, education, financial services, government information policy, human resources, Internet and e-commerce postal, privacy, tax and trade.
To help accomplish business, legislative and regulatory goals within these areas, the Corporation maintains memberships in a number of trade associations. Click here to view the full list of trade organizations we belong to.
